These Terms of Use (“Terms”) govern your access to and use of the website located at www.oddosolutions.com and any related subdomains, pages, tools, and calculators (collectively, the “Site”), which are owned and operated by Oddo Accounting Solutions LLC (“Oddo Accounting Solutions,” “OAS,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Who we are

Oddo Accounting Solutions is a bookkeeping and tax preparation firm based in Albuquerque, New Mexico,  serving small business owners. Oddo Accounting Solutions is not a certified public accounting (CPA) firm  and does not provide audit, review, attestation, or assurance services. References on the Site to tax  preparation, bookkeeping, or advisory services describe services that may be offered under a separate  written engagement and are not offered or performed through the Site itself.

2. No professional relationship; not advice

The content on the Site, including all articles, guides, calculators, and other tools, is provided for general informational and educational purposes only. It is not tax, accounting, legal, financial, or other professional  advice, and it is not a substitute for advice from a qualified professional who is familiar with your specific  circumstances.

Using the Site — including any calculator or tool on it — does not create a client, fiduciary, or other  professional relationship between you and Oddo Accounting Solutions. A professional relationship with OAS  is formed only through a separate, signed written engagement agreement. Do not send us confidential or  sensitive information through the Site expecting a professional relationship, and do not act or refrain from  acting based on Site content without seeking appropriate professional advice.

3. Calculators and interactive tools

The Site may offer calculators and interactive tools (the “Tools”), such as tax estimators and pay calculators.  The following applies to all Tools:

  • Estimates only. The Tools produce rough estimates based on the figures you enter and on general  assumptions and simplifications. They do not reflect your complete financial or tax situation and may  differ materially from your actual results, obligations, or liabilities.

  • Time-sensitive figures. The Tools rely on tax rates, brackets, thresholds, and other figures that are current only as of the date indicated within each Tool. These figures change, and a Tool may become inaccurate over time. You are responsible for confirming that any figure you rely on is current.

  • No reliance. You should not rely on any output of a Tool for filing, planning, payment, or any other decision without independent verification by a qualified professional. Outputs are not tax returns, filing instructions, or professional recommendations.

  • How the Tools handle information. The Tools are designed to run entirely within your web browser. Values you enter into a Tool are used only to display a result to you and are not transmitted to, collected by, or stored by Oddo Accounting Solutions through the Tool.

4. No warranties

THE SITE AND ALL CONTENT AND TOOLS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT  WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT  PERMITTED BY LAW, ODDO ACCOUNTING SOLUTIONS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED  WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful  components, or that any content or Tool output is accurate, complete, or current.

5. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ODDO ACCOUNTING SOLUTIONS AND ITS OWNERS, MEMBERS,  EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR TAX BENEFITS, OR FOR ANY TAX, PENALTY, OR INTEREST, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY  TO USE) THE SITE OR ANY TOOL OR CONTENT, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

6. Intellectual property

The Site and its contents — including text, graphics, logos, the “Oddo Accounting Solutions” and “Your  Business, By the Numbers” names and marks, the OAS badge, the “Tally” character, and the design, code, and  output format of the Tools — are owned by Oddo Accounting Solutions or its licensors and are protected by  intellectual property laws. You may view and use the Site for your own personal or internal business  purposes. You may not copy, reproduce, republish, distribute, modify, reverse-engineer, or create derivative  works from the Site or the Tools without our prior written permission.

7. Acceptable use

You agree not to use the Site to: violate any law; infringe the rights of others; introduce malware or attempt to gain unauthorized access to the Site or its systems; scrape, harvest, or copy content or code except as  expressly permitted; or interfere with the operation of the Site or any other person's use of it.

8. Third-party links

The Site may contain links to third-party websites or resources. We provide these links for convenience only  and do not endorse and are not responsible for the content, accuracy, or practices of any third-party site.  Your use of third-party sites is at your own risk and subject to their terms.

9. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Changes to the Site and these Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also revise  these Terms from time to time. The “Last updated” date above indicates when these Terms were last revised,  and changes are effective when posted. Your continued use of the Site after changes are posted constitutes  acceptance of the revised Terms.

11. Indemnification

You agree to indemnify and hold harmless Oddo Accounting Solutions and its owners, members, employees,  and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out  of your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of a third  party.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-laws rules.

13. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Entire agreement

These Terms, together with any documents expressly incorporated by reference, constitute the entire  agreement between you and Oddo Accounting Solutions regarding your use of the Site and supersede any  prior agreements on that subject.
